The Contract of Sale Demystified

Purchasing a property is a significant milestone. As property lawyers, we are here to guide you through the process with confidence and peace of mind.

The contract of sale is the cornerstone of any property transaction. Here are some key points to consider when you receive a contract of sale:

  1. Property Description: Ensure the description in the contract of sale accurately reflects the property being bought. There will be a detailed description of the property, including its address, boundaries, and any fixtures or fittings included in the sale.
  2. Purchase Price and Deposit: Confirm that the figures for the purchase price and deposit align with the agreed terms negotiated between the parties and also check the settlement date is the date you have agreed.
  3. Conditions of Sale: Review the conditions attached to the sale (such as conditions relating to building inspections, finance approval or sale of another property) to ensure they are reasonable and feasible.
  4. Settlement Date: Ensure the settlement date allows sufficient time for any necessary arrangements to be made, particularly if you are obtaining finance for the purchase. If you are borrowing money to acquire a property your bank will require a mortgage and usually a valuation of the property to make the loan available. It is essential for all aspects of the loan to be ready for settlement on the agreed settlement date or you may be in default of the contract and incur significant costs, even losing your deposit.
  5. Special Conditions: Review the special conditions in the contract, including penalties for late settlement or other conditions negotiated between the parties.
  6. Title and Ownership and Disclosure of Information: Verify that the seller has legal ownership of the property, review disclosures and seek professional advice. Sellers are required to provide certain disclosures and warranties regarding the condition of property. We can help you navigate through the complex documents and advise you on any details that require your attention.
  7. Legal Advice: It is advisable for both the purchaser and seller to seek independent legal advice before signing a contract of sale. As qualified property lawyers, we can review the contract, explain its terms and conditions, allowing you to mitigate risks and avoid disputes.

The contract of sale is an important document that requires careful attention to detail and expert legal guidance. With our expertise and support, you can navigate this process with confidence and embark on your property journey with peace of mind.
